Agreement to these terms

These Terms of Use apply to edgeelectronics.com and the pages, information, forms, and other services made available through it (the “Site”). By using the Site, you agree to these terms. If you do not agree to these terms, do not use the Site. You acknowledge that our Privacy Policy describes how we collect, use, and disclose personal information.

The Site is operated by Edge Electronics, Inc. (“Edge,” “we,” “us,” or “our”). These terms govern the Site only. A quotation, order acknowledgment, written agreement, or other transaction document issued or accepted by Edge may contain additional or different terms. Those transaction-specific terms control the applicable purchase or sale.

Informational website, not an offer

The Site provides general information about Edge, the products and manufacturers we work with, and the services we may be able to provide. Site content is not an offer to sell and does not create a contract, commitment, or obligation. A request for a quote, contact-form submission, or other message sent through the Site is an inquiry only.

Pricing, inventory, lead times, product status, manufacturer authorization, country of origin, compliance documentation, and shipping terms must be confirmed for the specific order. An order is accepted only through a written confirmation from Edge or as otherwise provided in a written agreement with Edge.

Product and technical information

Product descriptions, specifications, lifecycle information, documents, images, and links may be supplied by manufacturers or other third parties. They can change without notice. We work to keep the Site useful and accurate, but we do not guarantee that every item is complete, current, or free from error.

Do not rely on the Site as the sole basis for a design, qualification, compliance determination, or purchasing decision. Confirm the current manufacturer documentation, exact manufacturer part number, suitability, availability, channel, and applicable requirements with Edge before committing to a product or design.

Quotes and orders

Submitting information through the Site does not place an order. Quotes are subject to their stated validity period and to availability, allocation, manufacturer changes, applicable taxes, freight, and any other terms shown in the quote. A customer purchase order is subject to Edge's acceptance.

If these Terms of Use conflict with an accepted quotation, order acknowledgment, or other written agreement signed or issued by Edge, the transaction-specific document controls that transaction.

Channel and documentation

Edge uses authorized distribution as its default sourcing path and may source outside the authorized channel when agreed with the customer and permitted by the applicable order terms. A general statement on the Site does not establish the sourcing channel for a specific item. Confirm the channel and the documentation available for each quoted part with Edge.

Information you submit

You are responsible for ensuring that information you submit is accurate, that you are authorized to provide it, and that doing so does not violate another person's rights or an agreement that applies to you. We handle personal information as described in our Privacy Policy.

General website forms and ordinary email are not approved channels for classified information, controlled unclassified information, export-controlled technical data, payment-card information, Social Security numbers, protected health information, passwords, or similarly sensitive data. Contact Edge before sending regulated or highly sensitive material so an appropriate transfer method can be agreed upon.

Acceptable use

You may not use the Site to:

• Violate law, regulation, or another person's rights.
• Submit false, misleading, fraudulent, or unauthorized information.
• Introduce malicious code or attempt to bypass Site security.
• Interfere with the Site, its hosting, or another user's access.
• Attempt unauthorized access to systems, accounts, or data.
• Copy or use Site content in a way that infringes intellectual property rights.

We may restrict access when reasonably necessary to protect the Site, Edge, our customers, or our service providers.

Intellectual property

Unless otherwise identified, the Site and its original content, design, graphics, text, and software are owned by Edge or used with permission and are protected by applicable intellectual property laws. Manufacturer names, product names, logos, documents, and other third-party materials belong to their respective owners. No license is granted except the limited right to access and use the Site for lawful business purposes.

Third-party websites and materials

The Site may link to manufacturer documents, partner websites, and other third-party resources. Edge does not control those resources and is not responsible for their availability, accuracy, security, terms, or privacy practices. A link does not necessarily mean Edge endorses all content or services available from the third party.

Disclaimers

To the fullest extent permitted by law, the Site is provided “as is” and “as available.” Edge disclaims warranties regarding the Site, including implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, and uninterrupted or error-free operation. This Site disclaimer does not replace any warranty expressly stated in an accepted transaction document.

Limitation of liability

To the fullest extent permitted by law, Edge and its officers, employees, agents, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, lost profits, lost data, business interruption, or losses resulting from use of or inability to use the Site. Where liability cannot be excluded, it will be limited to the fullest extent permitted by applicable law.

Limitations applicable to a product, order, or other transaction are governed by the written terms for that transaction, not this Site-only limitation.

Changes and availability

We may change, suspend, or discontinue any part of the Site and may update these terms. The date at the top identifies the latest revision. Changes apply when posted unless a later date is stated. Continued use after an update means you accept the revised terms.

Governing law

Unless a written agreement with Edge provides otherwise, these terms are governed by the laws of the State of New York, without regard to its conflict-of-law principles. Any action relating solely to the Site or these terms must be brought in a state or federal court with jurisdiction in Suffolk County, New York. If any provision is unenforceable, the remaining provisions remain in effect.
